This day I'am submitting for possible use or evaluation by you my works and materials identified herein(hereinafter called the Material) with the understanding, and subject to the terms and conditions set forth herein. I acknowledge that the material was created and written by me without any suggestion or request from you that I write the Material or create the Material. I'am submitting this agreement with consideration of your agreement to review the Material enclosed with the express understanding that I limit my claim of the rights and features of the Material attached hereto.
a. Except as otherwise stated herein, I acknowledge that:
i. The material originally belongs to me.
ii. I have the exclusive rights to the Material and to grant all rights to exploit the material.
iii. I have exclusive rights in the title as regards its use in connection with the material
b. You agree that you will not commercially exploit the Material unless you shall first negoatiate with me compensation for such use, but I understand and are in agreement that the use of material by you containing features and elements similar to or identical with those contained in the Material shall not obligate you to negotiate with me nor entitle me to any compensation if you determine that you have an independent legal right to use such material which is not derived from me (either because features and elements were not new or novel, or were not originated by me, or because other persons, including your employees, have submitted or may hereafter submit material containing similar or identical features or elements which you have the exclusive right to use
If you at any time feel determined that you have the independent legal right to use the Material containing features and elements similar or identical to those contained in the Material without the payment of compensation to me and you or any of your other divisions, affiliates, or subsidiaries proceed to use the the same, and if I disagree with your determination, I agree that if you so elect, any dispute between us shall be submitted to arbitration in Reno, Nevada. The arbitrator shall be a person experienced in the field in which the alledged use was made by you and shall be mutually selected by you and me, or if we cannot agree, then the arbitrator shall be selected by the rules of the American Arbitration Association. The arbitration shall be controlled by the terms of this letter and any award favorable to me shall be limited to the fixing of compensation which shall hear a reasonable relation to compensation normally paid by you for similar material submitted by writers or similar stature, and such award shall in no event exceed a maximum of $400.00 If you do not elect to submit any such dispute to arbitration, I understand that I shall be entitled to commence a legal action against you.
If I have made any changes to this agreement, I'am not submitting and will not submit any of the Material unless and untill you have returned a countersigned copy of this Agreement with me. If I have made NO changes to this Agreement, I'am submitting the Material with this Agreement, I have retained a copy of the Material, and you shall not be responsible for preservation, return, or safekeeping.
